3. Payment Terms: 

Payment details, including amounts, payment schedules, and methods, will be stipulated in the agreement. All payments are to be made in the currency mentioned and in accordance with the agreed terms.

4. Confidentiality:

Both parties agree to treat all non-public information shared during the course of the engagement as confidential. This includes project details, proprietary information, and any sensitive data exchanged.

5. Intellectual Property:

All intellectual property rights arising from the services provided, including designs, codes, and content, shall belong to the client upon full and timely payment. 9am Solution retains the right to showcase the project in its portfolio unless explicitly stated otherwise.

6. Changes and Revisions:

Should there be a need for changes or revisions to the scope of work, timelines, or deliverables, both parties will discuss and agree upon adjustments in writing. Any additional work resulting from changes may incur extra charges.

7. Termination:

Either party may terminate the agreement if the other party breaches its obligations. Termination will be followed by a settlement of any outstanding payments for work completed up to that point.

8. Force Majeure:

Neither party shall be liable for delays or failure in performance due to events beyond their control, including but not limited to natural disasters, strikes, or government actions.

9. Dispute Resolution:

In the event of any disputes or disagreements, both parties agree to engage in good-faith discussions to reach an amicable resolution. If unsuccessful, disputes shall be subject to mediation or arbitration as specified in the agreement.

10. Liability Limitation:

9am Solution shall not be liable for any indirect, consequential, or incidental damages arising from the use of our services. Our liability is limited to the fees paid for the specific service. 

11. Governing Law: 

These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction specified in the agreement.

12. Amendments:

9am Solution reserves the right to amend these terms and conditions at any time. Clients will be notified of any changes and are encouraged to review them periodically.
